On December 4th and 5th, 2006, HHP Attorneys-At-Law and
RSM Hemmelrath Shanghai Office, together with the Youth Jurisprudence
Association of Fudan University, held the 5th WORKSHOP FOR LAW SCHOOL
STUDENTS on the topic of M&A. The graduates and undergraduates of Fudan Law School
joined in the workshop. The lecturers of this workshop were Mr. Rao Yao and
Mr. Liu Wei.

In November and December 2006, HHP Attorneys-At-Law
provides legal service for Gaorong Food Group, the largest private
vegetable-exporting company in China, on its willingness to
sell its storage and distribution center leased to Shanghai Lotus Chain
Supermarket Co., Ltd. to Macquarie Goodman Group, one of the world’s
biggest companies specializing in the real estate of industry &
logistics.

From November 22nd to 26th of 2006, all the members of
HHP Attorneys-At-Law and RSM Hemmelrath Shanghai Office flied to Viet Nam
for an outing, during which we toured around Ho Chi Minh City, experienced
the beauty of rural areas by cruising on Mekong river and visiting the
Fruit Island, enjoyed Vietnamese-flavored meal and a variety of fruits, and
released ourselves from pressure under the bright sunshine of the fantastic
beach of Toudun.

On 19th of November, 2006, Mr. Ye WEI--one of the
partners of HHP Attorneys-At-Law--strived to win the championship of MenĄ¯s
Doubles together with Mr. Xin WANG, the lawyer of Zhongmao Law Office in
the 8th Badminton Contest for All Lawyers in Shanghai.

In August 2006, Yao Jiang, the previous partner of
Shanghai Hao Kun Law Firm, formally become the partner of HHP Attorneys-at-Law.
Mr. Yao has been the consultant for governmental authorities and large
state-owned companies, providing legal opinions on important
decision-making. His clients are in a wide range of construction,
logistics, trading, technology, etc. He amassed diverse practical
experience in the area of company’s daily compliance and BOT
projects. With the aspect of litigation, Mr. Yao specializes in the area of
civil, commerce and contract disputes.

On 16 & 22 of May, 2006, HHP Attorneys-At-Law and
Hemmelrath Shanghai Office, together with the Youth Jurisprudence
Association of Fudan University, held the 4th WORKSHOP FOR LAW SCHOOL
STUDENT on the topic of Litigation Raised During M&A. The graduates and
undergraduates of Law School of Fudan University joined in the workshop.
Mr. Wei Ye conducted the workshop.

In May 2006, the firm's partner Mr. Jun Dai was
appointed as the independent supervisor of Business Development Bank. The
Bank is the first wholly-foreign owned commercial bank established in the
mainland China.
Its shareholders include Charoen Pokphand Group of Thaildand and DEG -
Deutsche Investitions- und Entwicklungsgesellschaft mbH.

From April, 2006, HHP Attorneys-At-Law advised
Indofood, the Indonesia’s
leading food company, on the establishment of a new subsidiary in Shanghai.

In March,2006, HHP Attorneys-At-Law has sealed a
long-term legal service agreement with Shanghai Honglou Real Estate Company
Limited to provide legal service for its developing commercial projects (Honglou Fortune Plaza)
which are located in Shanghai Songjiang.

March, 2006, HHP Attorneys-at-Law has concluded an
agreement on providing long-term legal service in China with Zendai group, a famous real
estate developer in China.

In February 2006, entrusted by a B-share listed company,
HHP Attorneys-At-Law represented Huangshi Haiguanshan Hotel Co., Ltd to
proceed against Capital-Bridge Securities for appropriating RMB 27 million
client clearing fund. The trial of first instance has been concluded.
Shanghai No. 1 Intermediate People’s Court accepted our
lawyer’s opinion and held that Capital-Bridge Securities shall pay
back RMB 27 million and relevant legal fruits.
